TERMS OF SERVICE
- Scope of Services
Tek Ino provides AI-powered WhatsApp assistant and customer communication software for businesses, including hospitals, beauty clinics, and other professional service providers. The Services support customer inquiries, customer service, sales support, booking assistance, reminders, follow-ups, and related business communication workflows. The Services may integrate with third-party communication platforms such as WhatsApp Business and may be managed through web-based interfaces and dashboards.
The Services are provided under subscription or contractual arrangements.
- Definitions
“Business User” means any legal entity or organization using the Services for commercial or professional purposes.
“Tek Ino” means PT Teknologi Integrasi Optima, a company incorporated under the laws of the Republic of Indonesia.
- Business Use Only
The Services are intended solely for business-to-business (B2B) use. By accessing or using the Services, the Business User represents and warrants that it is acting on behalf of a legal entity or organization and not as an individual consumer.
- AI-Generated Content
The Services use artificial intelligence technologies to generate automated responses and text outputs based on Business User inputs and configurations.
AI-generated outputs may be inaccurate, incomplete, or inappropriate. Tek Ino does not guarantee the accuracy, legality, or suitability of AI-generated content. Business Users are solely responsible for reviewing, approving, and validating all generated content before use, publication, or distribution.
AI-generated outputs do not constitute legal, regulatory, medical, financial, or professional advice and must not be relied upon as such.
- Messaging and WhatsApp Compliance
Where the Services are used to send or automate messages via third-party communication platforms, including WhatsApp Business, the Business User is solely responsible for ensuring compliance with all applicable laws, regulations, and third-party platform policies.
Tek Ino does not send messages for its own marketing purposes through Business User accounts. Where automated messages are sent through the Services, they are sent based on the Business User’s configuration, instructions, recipient interactions, approved templates, or applicable third-party platform functionality. Business Users must ensure that all message recipients have provided valid consent and that messaging content complies with applicable legal and third-party platform requirements.
Business Users are solely responsible for:
- Obtaining and maintaining verifiable opt-in consent from message recipients;
- Providing legally compliant opt-out mechanisms;
- Maintaining records of consent where required by law;
- Ensuring template messages comply with WhatsApp policies;
- Ensuring that use of the Services does not result in spam, abusive messaging, or policy violations.
Tek Ino shall not be liable for suspension, restriction, or termination of any third-party messaging account.
- Acceptable Use
Business Users may not use the Services for unlawful, harmful, or abusive activities, including sending unsolicited messages, violating third-party platform policies, generating misleading or deceptive content, or infringing intellectual property or other legal rights.
The Services may not be used for:
- Unsolicited bulk messaging, spam, or abusive messaging practices.
- Any activity that violates applicable laws or third-party platform policies, including WhatsApp Business Platform Terms.
- Business Users may not use the Services to send messages to recipients who have not provided appropriate consent, to scrape or import unauthorized contact lists, to impersonate others, or to conduct deceptive, fraudulent, abusive, or unauthorized messaging campaigns.
- Third-Party Integrations
The Services may integrate with third-party services, APIs, or communication platforms. Use of such integrations is subject to the applicable third-party terms, policies, availability, and technical limitations. Tek Ino is not responsible for the operation, availability, or compliance of third-party services.
The functionality, availability, and delivery of the Services may depend on third-party platforms, APIs, and infrastructure providers, including Meta Platforms, Inc. Tek Ino is not responsible for outages, rate limits, policy changes, API modifications, account suspensions, or other actions taken by third-party providers.
- Business User Responsibilities
Business Users are responsible for:
- Ensuring lawful use of the Services
- Obtaining all required consents for data processing and messaging
- Ensuring compliance with applicable laws and regulations
- Reviewing and approving AI-generated content before use
- Maintaining copies of any data they require for their own business or regulatory purposes.
- Indemnification
The Business User agrees to indemnify, defend, and hold harmless PT Teknologi Integrasi Optima (Tek Ino), its directors, officers, employees, and affiliates from and against any claims, damages, fines, penalties, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to:
(a) the Business User’s use of the Services;
(b) any violation of applicable laws or regulations;
(c) failure to obtain required consents for messaging or data processing;
(d) violation of third-party platform policies, including WhatsApp Business Platform Terms;
(e) content transmitted or generated through the Services under the Business User’s configuration or instruction.
- Payment and Billing
Certain Services are offered on a paid subscription basis. By providing payment information, the Business User authorizes Tek Ino or its designated payment service providers to charge the applicable fees using the selected payment method.
Subscriptions are billed in advance on a recurring basis in accordance with the selected plan until cancelled. Fees, billing cycles, and applicable charges are displayed at the time of purchase or checkout.
All fees are exclusive of applicable taxes, duties, or levies, which may be charged where required by law.
If a payment cannot be processed or is reversed, Tek Ino may suspend or restrict access to the Services until payment is successfully completed.
Except where required by applicable law, payments are non-refundable.
- Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of Tek Ino shall not exceed the fees paid by the Business User for the Services in the twelve (12) months preceding the event giving rise to the claim. In no event shall Tek Ino be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, loss of profits, loss of revenue, loss of data, business interruption, or reputational harm, arising out of or in connection with the Services, even if Tek Ino has been advised of the possibility of such damages.
The Services are provided on an “as is” and “as available” basis. Tek Ino disclaims all warranties, express or implied, and shall not be liable for damages arising from the use of AI-generated content, third-party platform restrictions, service interruptions, or data provided by Business Users. Tek Ino shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to network failures, third-party platform outages, API changes, regulatory actions, force majeure events, or other external disruptions.
Unless expressly agreed in a separate written service level agreement, the Services are provided without any guaranteed uptime, availability level, response time, or performance metric.
- Changes to the Terms
Tek Ino may update these Terms of Service from time to time. Continued use of the Services constitutes acceptance of the updated terms.
- Company Information and Governing Law
The Services are provided by Tek Ino (PT Teknologi Integrasi Optima), a company incorporated under the laws of Indonesia.

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law principles. Any disputes arising out of or in connection with the Services shall be subject to the jurisdiction of the competent courts of the Republic of Indonesia.
- Suspension and Termination
Tek Ino reserves the right to suspend or terminate access to the Services where use violates these Terms, applicable laws, or third-party platform policies, or where necessary to protect the integrity and security of the Services.
Tek Ino may immediately suspend or terminate access to the Services where continued provision of the Services may expose Tek Ino to regulatory, legal, reputational, or third-party platform compliance risks.
- Data Usage and Service Improvement
The Business User grants Tek Ino the right to process Business User data only as necessary to provide, operate, secure, maintain, troubleshoot, and improve the Services, in accordance with the Privacy Policy and applicable law.
Where data is used for analytics, quality assurance, service improvement, model improvement, or product development, Tek Ino will use appropriate safeguards such as aggregation, anonymization, access controls, or other reasonable technical and organizational measures where applicable.
Tek Ino does not claim ownership of Business User input data or customer message content. Please refer to the Privacy Policy for more information about how Tek Ino collects, uses, stores, and protects personal data.
- Intellectual Property
As between the parties, Business Users retain ownership of their input data and, subject to applicable law, the outputs generated through their use of the Services. Tek Ino retains all rights to the Services, underlying technology, and models.
